By using AutoPIL you agree to these terms. If you are accepting on behalf of a company, you represent that you have authority to bind that organization. If you do not agree, do not use the service.
AutoPIL provides a runtime policy enforcement, audit logging, and agent registry platform for AI-driven applications (the "Service"). The Service is offered under two models:
autopil Python package, licensed under the Business Source License 1.1 (BSL-1.1). BSL converts to MIT in 2030. The license file in the repository governs that software directly.You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under your account. Notify us immediately at security@autopil.ai if you suspect unauthorized access.
You must be at least 18 years old and legally authorized to enter contracts in your jurisdiction to create an account. Accounts may not be shared across organizations or resold.
You may use the Service only for lawful purposes and in compliance with these Terms. You must not:
You retain all rights to the audit events, policies, agent configurations, and other data you submit to the Service ("Customer Data"). You grant us a limited license to store, process, and transmit Customer Data solely to provide the Service.
We do not use Customer Data to train models, sell to third parties, or share with other customers. Our handling of personal data is described in our Privacy Policy.
Paid plans are billed in advance on a monthly or annual cycle. All fees are stated in US dollars and are non-refundable except where required by law or as otherwise agreed in writing. We reserve the right to change pricing with 30 days' notice to account administrators. Continued use after the effective date constitutes acceptance of the new pricing.
If payment fails, we will notify you and provide a reasonable cure period before suspending access. Accounts suspended for non-payment for more than 60 days may be terminated and data deleted with 14 days' prior notice.
We offer a free trial period for new accounts. At the end of the trial, the account converts to a paid plan or access is suspended — we will notify you before the trial ends. We reserve the right to modify trial terms or discontinue free trials at any time.
AutoPIL and the AutoPIL logo are trademarks of AutoPIL Inc. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Service as described here. Feedback or suggestions you submit may be used by us without restriction or compensation.
We target 99.5% monthly uptime for the hosted API. Scheduled maintenance windows are announced at least 48 hours in advance. Service credits for downtime below the SLA target are available to customers on annual plans — contact info@autopil.ai within 30 days of an incident to request a credit. Credits are the sole remedy for availability failures.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AutoPIL INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
You agree to defend, indemnify, and hold harmless AutoPIL Inc. from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your Customer Data, or your violation of any applicable law.
Either party may terminate these Terms at any time. You may stop using the Service and close your account. We may suspend or terminate your access immediately if you breach these Terms, or with 30 days' notice for any other reason. Upon termination, your right to use the Service ceases and we will delete your Customer Data within 90 days, unless retention is required by law.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings in Dallas County, Texas. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
We may update these Terms as the product and legal landscape evolve. When we make material changes, we will notify account administrators by email at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between you and VibrantCapital AI, Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of future enforcement. You may not assign these Terms without our prior written consent.
